Pixyvidia Terms and Conditions2025IntroductionThese Terms and Conditions ("Terms") govern the provision of AI video creation services by Pixyvidia (a trading name of BitRobotics Ltd) to its clients ("Client" or "you"). By commissioning or using Pixyvidia's services, you agree to these Terms. Pixyvidia creates videos using a combination of generative AI technology and human creative input. All services are provided remotely/online from the UK. These Terms aim to clearly set out each party's rights and responsibilities, protecting both Pixyvidia and the Client. Services Provided1.1 Scope of Service: Pixyvidia will produce custom videos for the Client using AI video generation combined with human scriptwriting, editing, and post-production. Services include developing or refining the video script (in consultation with Client), generating AI-driven video segments, assembling and editing the final video (which may involve various editing tools), and delivering the video file in a common format (e.g. MP4). Any additional services (such as multiple revisions, voiceovers, subtitles, etc.) will be agreed in writing including any extra fees. 1.2 Deliverables: Pixyvidia will deliver the final video output as per the project specifications agreed (e.g. duration, resolution, content topic). Unless otherwise agreed, deliverables are digital files provided via email or a download link. Physical delivery (like on a USB drive) or in-person presentations are not included by default. 1.3 Timeline: Pixyvidia will use reasonable efforts to meet any agreed-upon delivery schedule. However, all timelines are estimates. Typical delivery times are 3-5 business days for the Starter Spark package and 5-7 business days for the Professional Explainer package, from receipt of the client's brief and payment. These are estimates and subject to factors such as complexity of AI rendering, revision requests, Client's delayed feedback, etc. If delays occur, Pixyvidia will communicate promptly and propose a revised delivery date. Time is not "of the essence" unless explicitly stated in writing. 1.4 Revisions: The service includes the number of revision rounds as specified in the selected service package (e.g., one round of script revisions for the Starter Spark package, or two rounds of script revisions plus one round of minor visual tweaks for the Professional Explainer package). Significant changes or additional revision rounds may incur extra charges, which will be quoted for Client approval. Revisions must remain within the original project scope; a change in scope (e.g. new script or entirely new scenes) will be treated as a new project or an add-on service. Client Obligations2.1 Provision of Materials: The Client will provide any materials necessary for the video, such as branding assets (logos, images), specific text to include, or reference information, in a timely manner. The Client must ensure they have the legal right to use any materials they supply to Pixyvidia (for example, if providing a logo, images, or background music, the Client warrants they own it or have a proper license). 2.2 Content Guidelines: The Client agrees not to request or instruct Pixyvidia to create any video content that is illegal, infringing, or unethical. Prohibited content includes, but is not limited to: 
 Pixyvidia reserves the right to refuse any project or specific content request that it deems to fall into these prohibited categories or to be otherwise inappropriate or high-risk. 2.3 Approvals: The Client will review drafts or storyboard scripts provided by Pixyvidia and give timely feedback/approval. The Client's final approval of a script or preview video constitutes acceptance of the content. Once approved, any changes requested may be chargeable (see Revisions above). 2.4 Cooperation: The Client will designate a point of contact with decision-making authority to streamline feedback. The Client shall respond to communications in a reasonable timeframe to avoid project delays. Fees and Payment3.1 Pricing: Pixyvidia offers services through predefined packages, including the Starter Spark package (£199) and the Professional Explainer package (£499), with details as described on our website or in the service agreement. Pricing is fixed based on the selected package, unless additional services are agreed upon. Any applicable taxes (e.g. VAT) will be added as required by law. Package details, including features and limitations, are incorporated by reference into these Terms and may be updated from time to time; current details will apply at the time of commissioning. 3.2 Deposit: A deposit may be required for certain projects or custom add-ons, as specified in the quotation or service agreement. Work will commence once any required deposit is received. 3.3 Payment Process: Pixyvidia will provide a Stripe payment link for the full package fee upon the Client ordering the service or on delivery of the final video, as specified in the service agreement. Payment is due immediately upon receipt of the Stripe payment link. 3.4 Payment Method: Payment must be made via the Stripe payment link provided. All payments must be in GBP unless otherwise stated. 3.5 Non-Payment: If payment is not completed promptly via the Stripe payment link, Pixyvidia reserves the right to suspend services or withhold delivery of the final video until payment is received. 3.6 No Refunds for Delivered Work: Due to the bespoke and digital nature of the service, payments are non-refundable once work has been completed and delivered. If the Client terminates the project early without fault on Pixyvidia’s part, Pixyvidia may retain any deposit or charge for work done up to termination. Intellectual Property Rights4.1 Ownership of Final Video: Upon full payment, Pixyvidia will transfer to the Client all necessary rights in the final video. By default, this is an assignment of copyright and any other intellectual property in the video to the Client. This allows the Client to use the video freely for its intended purpose (commercial, internal, etc.), in perpetuity, worldwide. Pixyvidia retains the right to use the video for portfolio or marketing purposes (e.g. showing samples of work), unless the Client has requested in writing that the video remain confidential. If the video includes any third-party licensed components (e.g. stock music, fonts, or AI model elements) that cannot be assigned, Pixyvidia will secure an appropriate license for the Client's use or notify the Client of any usage restrictions. 4.2 AI-Generated Content Rights: The Client acknowledges that parts of the video are generated by AI. Pixyvidia warrants that according to its agreements with the AI platforms, it has the right to use and commercialize those AI-generated outputs. Pixyvidia either owns the AI-generated segments or has an unrestricted license to use them in the Client's video, so the Client's rights in the final video are not infringed. Under UK law, Pixyvidia (as the party arranging the AI creation) is considered the author of computer-generated elements, and Pixyvidia thereby can transfer full rights to the Client. In jurisdictions where AI-generated material might not be copyrightable, Pixyvidia contractually assigns all possible rights and interests in the output to the Client. In short, the Client will have all rights necessary to use the delivered video without further payment obligations. 4.3 Client Materials: All intellectual property in materials provided by the Client (logos, graphics, scripts provided by client, etc.) remains with the Client or its licensors. The Client grants Pixyvidia a license to use those materials solely for the purpose of creating the video. The Client warrants that such materials do not infringe any third-party rights and agrees to indemnify Pixyvidia per Section 7 if any third-party claim arises from Pixyvidia's use of Client-provided materials. 4.4 Pixyvidia Tools & Pre-existing IP: Pixyvidia owns or licenses various tools, templates, AI models, and software that may be used in the production process. This includes the underlying AI technology, editing software, and any pre-existing code or content developed by Pixyvidia (e.g. custom scripts or stock assets). Except for the specific final video deliverable, no license to Pixyvidia's underlying software or methods is granted to the Client. Any Pixyvidia branding or internal assets not intended to appear in the final video remain Pixyvidia's property. If the project involves Pixyvidia providing voiceover using a Pixyvidia-owned AI voice or an avatar, Pixyvidia grants the Client a license to use that voice/avatar within the video as delivered, but the Client cannot extract or reuse it in other contexts without permission. 4.5 Credit and Brand: Pixyvidia may request to include a small credit (e.g. "Video created by Pixyvidia AI Video Agency") at the end of the video or in the video description, especially for publicly published videos, subject to Client's approval. The Client also agrees that Pixyvidia may list Client as a client/portfolio example on Pixyvidia's website and use non-confidential descriptions of the project for self-promotion. If the Client has confidentiality concerns (for instance, for internal videos or unreleased campaigns), they should inform Pixyvidia in advance and reasonable accommodations will be made. Confidentiality and Data Protection5.1 Confidential Information: Each party may receive confidential or proprietary information from the other (e.g. the Client's marketing plans or Pixyvidia's pricing structure). Both Pixyvidia and the Client agree to keep confidential information secret and not use or disclose it to any third party except for the purpose of fulfilling the project. This obligation excludes information that is public knowledge or obtained independently. Pixyvidia may, however, disclose project information to its employees or subcontractors (including freelancers) who need it for the work, ensuring they are bound by similar confidentiality obligations. 5.2 Data Protection: Pixyvidia will handle any personal data in accordance with its Privacy Policy (available on our website) and applicable data protection law (UK GDPR/Data Protection Act 2018). Generally, Pixyvidia does not intend to process personal data on behalf of the Client, except basic business contact details and billing information. If the project incidentally involves personal data (e.g. real person's name or image in a video), the parties will ensure compliance with law – for example, the Client confirming they have consent or a legal basis to include an individual's personal data in the content, and Pixyvidia ensuring any processing by AI tools is secure. Pixyvidia will not use any Client personal data for purposes beyond the project without consent. Both parties agree to comply with data protection laws, and Pixyvidia, as a data processor for any personal data provided by Client for the video, will only act on the Client's instructions in that regard. 5.3 Use of Third-Party Services: The Client acknowledges Pixyvidia uses third-party platforms (e.g. AI generation services, cloud storage for file delivery, or editing tools). Pixyvidia will ensure these providers are reputable and, where applicable, that data is transferred lawfully. For example, Pixyvidia uses private generation modes where available so that Client's prompts or content are not public on those platforms. Pixyvidia also ensures any content uploaded to editing tools is used in compliance with those services' terms (e.g. not uploading sensitive personal data). While Pixyvidia cannot guarantee the operations of third-party tools, it will not knowingly use any service that kindizes the confidentiality of the project. Any significant subcontracting (e.g. hiring another editor or voice artist) will be disclosed to the Client if it involves sharing the Client's confidential info. Warranties and Disclaimers6.1 Service Warranty: Pixyvidia represents that it will perform the services with reasonable care, skill, and professionalism, in accordance with industry standards. We will make good faith efforts to ensure the video meets the agreed requirements and is free from major defects. 6.2 Originality: Pixyvidia warrants that to its knowledge, the final video content (aside from any Client-supplied material or specific elements the Client insisted on) does not infringe any third-party copyrights or other IP rights. We create original scripts and use AI generation such that the results should be unique. However, due to the nature of AI, Pixyvidia cannot guarantee that some element might not coincidentally resemble existing content. We thus disclaim any absolute warranty of non-infringement. In the unlikely event a third party claims an IP infringement, Pixyvidia will address it per the indemnity below, but makes no other warranties, and certain outputs are generated "as is" by the AI. (Our insurance and internal review serve to mitigate this risk.) 6.3 Fitness for Purpose: The Client is responsible for clearly communicating the video's intended purpose and audience. Pixyvidia will craft the video accordingly, but we do not warrant that the video will achieve specific results or viewer reactions (e.g. increase sales, go viral, etc.), nor that it will meet requirements not expressly stated by the Client. 6.4 No Other Warranties: Except as explicitly stated in these Terms, Pixyvidia makes no further warranties or guarantees, express or implied. We do not guarantee the uninterrupted or error-free use of any digital deliverable on all systems – for example, the Client is responsible for testing that the video file format we deliver is compatible with their playback needs (though we will assist in reasonable format conversions if needed). Any condition or warranty which might be implied by law (such as merchantability or fitness for a particular purpose) is excluded to the extent permitted, as this is a business-to-business service engagement. 6.5 AI Specific Disclaimer: The Client understands that the video includes content generated by artificial intelligence. While Pixyvidia guides and curates this content: 
 Indemnities7.1 Client Indemnity: The Client agrees to indemnify and hold harmless Pixyvidia (and its directors, employees, contractors) from any losses, claims, or legal fees arising from: 
 This indemnity extends to reasonable attorneys' fees and court costs, and Pixyvidia will promptly notify the Client of any such claim and allow the Client to control the defense (with cooperation from Pixyvidia), provided the Client's strategy reasonably protects Pixyvidia's interests. 7.2 Pixyvidia Indemnity: Subject to the limitations in Section 8, Pixyvidia will indemnify the Client against any third-party claim that the video delivered by Pixyvidia as provided to the Client infringes a UK intellectual property right of that third party (meaning, if someone claims our original portion of the video copied their copyrighted work). This indemnity is void if the alleged infringement arises from (a) materials or directions provided by the Client, (b) use of the video by Client in a manner not contemplated (e.g. combining it with other content), or (c) modifications to the video made by the Client or a third party. If an infringement claim arises, Pixyvidia may choose to (i) obtain a license for the Client to continue using the affected content, (ii) modify or replace the infringing part of the video, or (iii) if options (i) and (ii) are not feasible, refund the portion of fees corresponding to the infringing part and require cessation of its use. This Section states Pixyvidia's entire liability for IP infringement claims. Limitation of Liability8.1 Types of Loss: To the fullest extent permitted by law, Pixyvidia's liability for any claims arising under these Terms or related to the services is limited. Pixyvidia will not be liable for: (a) any indirect, special, or consequential losses, (b) any loss of profit, revenue, anticipated savings, or business opportunities, (c) any loss of or damage to goodwill or reputation, or (d) loss of data (e.g. if the Client loses the video file, we'll of course try to provide another copy, but we're not liable for any damage resulting from lost data beyond providing a replacement file). 8.2 Liability Cap: Pixyvidia's total aggregate liability under or in connection with a project or these Terms (whether in contract, tort (including negligence) or otherwise) is limited to the total fees paid by the Client for that project. For example, if the project fee was £5,000, Pixyvidia's maximum liability for all claims (except those not lawfully limitable) would be £5,000. This limitation applies no matter how many claims or causes of action arise. 8.3 Unlimited Liability: Nothing in these Terms limits liability for: death or personal injury caused by Pixyvidia's negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded by law. In particular, if the Client is a "consumer" (though we target businesses, if a consumer does engage us, they may have non-excludable rights), nothing here is meant to override any consumer rights under law. 8.4 Client's Responsibility: The Client acknowledges that it is responsible for reviewing the content of the video and its suitability for the Client's use. Pixyvidia provides creative output based on Client's instructions, and the Client is in the best position to know its industry and any regulatory or compliance issues for the video's content. Accordingly, aside from IP infringement covered by our indemnity, the Client accepts responsibility for how it uses the video and the messages it conveys. For instance, if the video is used in a marketing campaign, compliance with advertising laws (e.g. not making false claims about a product) is the Client's responsibility. Termination9.1 Termination by Client: The Client may terminate the project at any time on written notice. If termination occurs, the Client agrees to pay for all work completed up to that point. Pixyvidia will mitigate further costs once notice is received. Any deposit paid is non-refundable (but will be credited against the work done). If a project is put on hold by the Client for more than 30 days, Pixyvidia may treat it as a termination (and invoice for work done). 9.2 Termination by Pixyvidia: Pixyvidia may terminate or suspend services if the Client is in material breach of these Terms (e.g. fails to pay an invoice more than 30 days past due, or requests obviously illegal content despite warnings). Pixyvidia will give notice and a chance to cure the breach if feasible. If Pixyvidia terminates due to Client breach, the Client must pay for work done and any additional costs incurred due to the breach. 9.3 Effect of Termination: Upon termination, Pixyvidia will stop using any Client confidential information or materials and either return or destroy them as requested (except to keep minimal records for legal/regulatory purposes). Sections that by their nature should survive (such as payment obligations, IP rights for work delivered, confidentiality, liability limits, etc.) shall survive termination. Miscellaneous10.1 Independent Contractor: Pixyvidia (BitRobotics Ltd) is an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship between Pixyvidia and the Client. Neither party has authority to bind the other in any way. 10.2 Subcontracting: Pixyvidia may involve qualified subcontractors or freelancers in parts of the project (for example, a specialist video editor or voice actor), but will remain responsible for the quality of their work. Pixyvidia will ensure any subcontractor is bound by obligations of confidentiality and IP assignment consistent with these Terms. 10.3 Force Majeure: Pixyvidia is not liable for delays or failure to perform caused by events beyond its reasonable control – such as natural disasters, major internet outages, acts of government, fire, flood, war, labor strikes, or unforeseen technical failures in third-party platforms (e.g. if the AI service becomes temporarily unavailable). If such an event occurs, Pixyvidia will notify the Client and the timeline will be adjusted. If a force majeure event continues for an extended period making the project impossible, either party may terminate the project with notice, and the Client will pay for work completed but can cancel the remainder. 10.4 Governing Law and Dispute Resolution: These Terms and any contract between Pixyvidia and the Client are governed by the laws of England and Wales. The parties agree that the courts of England and Wales have exclusive jurisdiction over any disputes arising under or related to these Terms. Pixyvidia and the Client will attempt in good faith to resolve any dispute or claim through negotiation first, and consider mediation if appropriate, before resorting to legal action. 10.5 Entire Agreement: These Terms, together with any proposal/quote and written project agreement, constitute the entire agreement between the parties for the services and supersede any prior discussions or proposals. Any changes to these Terms must be agreed in writing (email is acceptable) by both parties. In the event of a conflict between these standard Terms and a specific signed contract with the Client, the signed contract terms will prevail. 10.6 No Waiver: Failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it later. 10.7 Severability: If any part of these Terms is found invalid or unenforceable by a court, that part shall be severed, and the rest of the Terms will remain in effect. The invalid provision will be interpreted or replaced to fulfill its intended purpose to the greatest extent allowed. 10.8 Notices: Official notices under these Terms should be sent via email or postal mail to the contact addresses provided (for Pixyvidia: The Union Building, Rose Lane, Norwich, NR1 1BY, and contact@pixyvidia.com; for Client: the address/email provided). Email notices will be deemed received the next business day after sending, provided no bounce or error is received. 10.9 Assignment: Neither party may assign these Terms or any rights or obligations hereunder without the prior written consent of the other party, except that Pixyvidia may assign to an affiliate or in connection with a merger or acquisition. 10.10 Updates to Terms: Pixyvidia may update these Terms from time to time. Updated Terms will be posted on our website, and continued use of services after such posting constitutes acceptance. For ongoing projects, we will notify Clients of material changes. By engaging Pixyvidia's services, the Client acknowledges that they have read and agree to these Terms and Conditions. These Terms are effective as of the date of the proposal or service agreement and will govern all projects going forward unless superseded by updated terms.  |
